Vermont DHIA is governed by a board of directors, elected by the members directly from the membership. These directors provide guidance for the goals and objectives of the organization and suggest major policy decisions that affect the members and employees of Vermont DHIA. Day-to-day management of the organization and its employees as well as hiring of staff and technicians are handled by the management staff, who also work to implement the objectives and policies set fourth by the board.

Major policy decisions - including budget approval and bylaws changes - are approved annually by delegates at an annual meeting. Like board members, these delegates are elected directly from the membership, by the members, and their purpose is to represent both the best interests of all members within their region and the organization itself.
The affiliate area (area served by Vermont DHIA) is divided into nine regions, based on numbers of herds and cows and geography. Board members and delegates in each region are elected annually, based on the number of herds and cows they will represent. Delegates serve one-year terms with no term limit. Directors are elected for three-year terms, with a four-term limit.
